Terms of Service

Please read these Terms carefully. They contain important provisions including a binding arbitration clause, class action waiver, and limitations on liability. By using Tydal Terminal, you agree to be bound by these Terms.

These Terms of Service ("Terms") are a legal agreement between you ("you," "Vendor," or "User") and Tydal LLC, a Louisiana limited liability company ("Tydal," "Tydal Terminal," "we," "us," or "our"). These Terms govern your access to and use of the Tydal Terminal website at tydalterminal.com, our vendor network, payment routing services, dashboards, and any related services (collectively, the "Services").

1. Acceptance of Terms

By accessing or using the Services, creating an account, or submitting a vendor application, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business, and "you" includes both you individually and that business.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old;
  • Be a legally registered business or have the legal capacity to enter into contracts;
  • Operate a business that complies with all applicable federal, state, and local laws;
  • Provide accurate, complete, and current information during onboarding; and
  • Not be on any U.S. or international sanctions, denied parties, or specially designated nationals list.

3. The Services

Tydal Terminal operates a curated payment processing network that connects specialty commerce vendors with third-party payment rails, including card processors, cryptocurrency gateways, and ACH providers. We do not ourselves process payments; we facilitate connections between vendors and our partner payment processors.

Approved vendors gain access to:

  • Pre-negotiated payment processing arrangements with our partner network;
  • A vendor dashboard with configurable fee-split tools;
  • A checkout widget for embedding on vendor websites; and
  • Support and onboarding resources.

4. Vendor Application and Approval

Submission of a vendor application does not guarantee acceptance. Tydal reserves the sole right to approve or deny any application for any lawful reason, including the nature of products sold, processing history, compliance risk, or capacity constraints. Approval may be conditional and may be revoked at any time if a vendor falls out of compliance with these Terms or with the requirements of our payment partners.

5. Membership Fees and Billing

Access to the Tydal Terminal network requires payment of a recurring membership fee in the amount disclosed at the time of enrollment. Fees are billed monthly or annually in advance and are non-refundableexcept where required by law. We reserve the right to change membership fees with 30 days' notice; changes will not apply to the then-current billing period.

Founder Rate or other promotional pricing, if offered, remains in effect only while your account is in good standing and continuously active. Lapses in payment may permanently forfeit promotional pricing.

6. Prohibited Products and Activities

You may not use the Services in connection with any of the following:

  • Products or services that are illegal in your jurisdiction or in any jurisdiction in which you sell;
  • Products that have been the subject of an FDA, FTC, or DEA enforcement action against your business;
  • Products marketed for human consumption that are not properly labeled "for research use only" or that violate FDA marketing rules where applicable;
  • Controlled substances, narcotics, or scheduled drugs;
  • Counterfeit or trademark-infringing goods;
  • Weapons, ammunition, or explosives;
  • Adult or sexually explicit content;
  • Gambling, betting, or lottery services that are not properly licensed;
  • Multi-level marketing, pyramid, or Ponzi schemes;
  • Activities that violate the terms of our payment partners; and
  • Any activity intended to defraud, deceive, or harm consumers.

Tydal reserves the right to immediately suspend or terminate any account engaged in prohibited activity and to report violations to applicable authorities and payment partners.

7. Vendor Responsibilities

As a vendor on the Tydal Terminal network, you agree to:

  • Maintain all licenses, registrations, and permits required for your business;
  • Accurately represent your products, pricing, and shipping policies to customers;
  • Honor refunds, chargebacks, and disputes in accordance with applicable consumer protection laws;
  • Maintain age-verification and buyer-attestation processes where required by product category;
  • Comply with the terms of all underlying payment processors and gateways;
  • Notify Tydal promptly of any material change to your business, ownership, or risk profile; and
  • Cooperate with any compliance, fraud, or audit request from Tydal or our partners.

8. Payment Processing Through Third Parties

All actual payment processing is performed by third-party providers (such as BVNK, Bridge, Mercury, NOWPayments, Coinbase, and similar partners), each governed by their own terms and conditions. Tydal is not a money transmitter, bank, payment processor, or financial institution. Funds flow directly between buyers, partner processors, and vendors; Tydal does not hold customer or vendor funds.

You are responsible for entering into and complying with the terms of each payment processor you use through the network. Tydal is not liable for any decision, action, delay, freeze, or denial by a third-party processor.

9. Fees and Fee Configuration

The Tydal Terminal dashboard allows vendors to configure how transaction fees are split between the vendor and the customer at checkout. You are solely responsible for the fee-split configuration you select and for ensuring that any fee passed to the customer is clearly disclosed and lawful in the customer's jurisdiction (including any state-specific surcharge laws).

10. Intellectual Property

All content, code, designs, trademarks, and materials on the Services are owned by Tydal LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose. You may not copy, modify, reverse engineer, scrape, or create derivative works of the Services without our prior written consent.

11. User Content and Submissions

Any information, feedback, or content you submit to Tydal (other than confidential business records) may be used by us to improve the Services without obligation or compensation to you. You retain ownership of your business data, and we will use it only as described in our Privacy Policy.

12. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if:

  • You breach these Terms;
  • You engage in prohibited activity;
  • A payment partner terminates or refuses service;
  • Required by law, regulation, or court order; or
  • We discontinue the Services in whole or in part.

You may cancel your account at any time by contacting support@tydalterminal.com. Cancellation does not entitle you to a refund of any prepaid fees.

13. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or secure. Tydal makes no warranty regarding the actions or performance of any third-party payment processor or partner.

14. Limitation of Liability

To the maximum extent permitted by law, Tydal LLC, its officers, members, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages.

Tydal's total aggregate liability for any claim arising under these Terms shall not exceed the greater of (a) the total membership fees you paid to Tydal in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Tydal LLC, its officers, members, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) your products, services, or business practices; or (e) any dispute between you and a customer, processor, or third party.

16. Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution. Before filing any claim, you agree to first contact Tydal at support@tydalterminal.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration.Any dispute not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in East Baton Rouge Parish, Louisiana, or another mutually agreed location. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class Action Waiver. You and Tydal agree that any dispute shall be brought in your or our individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Exceptions. Either party may bring claims in small-claims court or seek injunctive relief in a court of competent jurisdiction for intellectual property infringement.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws principles. Subject to the arbitration provision above, any judicial proceeding shall be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana.

18. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the "Last Updated" date above and, for material changes, provide notice through the Services or by email. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

19. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any vendor agreement you sign, constitute the entire agreement between you and Tydal regarding the Services.

Severability. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.

Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, pandemics, cyber-attacks, or government actions.
